Abstract : Confidential information in the negotiations scope, also known as undisclosed information as a commonly used term in international treaties and conventions as well as comparative laws, has become one of the most critical Intellectual Property (“IP”) issues in the current era, given its high significance in both the national and international levels. This significance led to comparative legal systems to set rules and legal barriers to confidential information that has been disclosed during the contract negotiations phase from any possible violation or prejudice, because it is constituted as a branch intellectual, industrial and commercial property. On that basis, this study highlights and concentrates on the research of protecting confidentiality, its nature, its requirements during the contract negotiations phase, which is a private, sensitive and dangerous stage in the contract formation phase. The Saudi legislative body, as well as Arabic laws, have not yet organized it in an explicit legal text, which is exposing confidential information to a great risk of being violated or manipulated in an illegitimate manner. Accordingly, this letter addresses the significance of establishing the principle of confidentiality in the contract negotiations phase, in terms of establishing its rules, provisions and consequences, through studying the nature of civil protection that is already granted for confidential information in the contract negotiations phase, as well as its adequacy and limitations thereof. The letter also highlights the common issues that arise as a result of disclosing such confidential information, the relevant types, the extent of liability, the legal procedures and how to compensate for its damages.
